RE: Letter of Intent

Dear Roger Lewis,

The Mapleton Home Association, a 501(c)3 non-profit corporation licensed to operate in the state of Colorado, and representing the homeowners and residents of Mapleton Mobile Home Park located at 2635 Mapleton Avenue, Boulder, Colorado agrees that we and Thistle Community Housing will work together for our common goal of a resident controlled, permanently affordable, low and moderate income housing development at the Mapleton Mobile Home Park by purchasing the Park from the current owners, the City of Boulder.

To that end, the Steering Committee, the Board of Directors and the General Membership of the MHA have all voted to proceed with gathering information on appropriate models for such a purpose and to begin negotiations with Thistle through our MHA Business Committee.

We look forward to a friendly, mutually satisfying relationship where Mapleton Park residents will gain some amount of control over their futures and Thistlešs Board of Directors and Staff can enrich our community by eventually placing a very valuable portion of residential downtown Boulder in the permanently affordable category.

Sincerely,

Pete Caterina, MHA Sec.

Letter of Intent to Join Community Land Trust

February 26, 2001

Roger Lewis, Acquisitions Manager
Thistle Community Housing

Dear Roger,

As you know, the residents of Mapleton Mobile Home Park, represented by The Mapleton Home Association, a 501(c)3 non-profit corporation licensed to operate in the state of Colorado, held an election at the January Quarterly meeting to decide which purchase model to pursue in our quest to gain control of our park. This letter is to confirm that the decision of the residents is to join the Thistle Community Housing Community Land Trust.

We look forward to discussing and formalizing the details of Mapletonšs participation in the CLT, since our relationship to the CLT will be distinct from other participating properties. In addition, we intend to continue cooperating with Thistle in the negotiations for the transfer of the park property from the City of Boulder, which will occur after completion of the Goose Creek Flood Mitigation construction through Mapleton. Our mutual goal is to have a contract for the purchase in place by August, 2001.

Sincerely,

Ben Jensen, President
